Terms of Service

Effective 21 September 2026. These terms apply to the TestPerfect hosted service provided by Test Perfect Limited. Please read them carefully — by creating an account or using the Service you agree to be bound by them.

1. Who we are and what this agreement covers

TestPerfect is operated by Test Perfect Limited (“TestPerfect”, “we”, “us”). These Terms of Service (the “Terms”) form a legally binding agreement between Test Perfect Limited and the organisation or individual that registers for an account (“Customer”, “you”).

The Terms govern your access to and use of the TestPerfect web application, its APIs, the TestPerfect VS Code extension, self-hosted execution agents, CLI tools and any related documentation and support (together, the “Service”). Our Privacy Policy and, where applicable, a signed Data Processing Agreement and Order Form are incorporated into these Terms. If a signed Enterprise agreement conflicts with these Terms, the signed agreement prevails.

The Service is intended for business use. If you are entering into these Terms on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, and “you” refers to that organisation.

2. Definitions

3. Accounts and eligibility

  • You must be at least 18 years old and able to enter into a binding contract.
  • You must provide accurate registration and billing information and keep it up to date. Accounts registered with a disposable, unverifiable or shared mailbox may be refused or removed.
  • You are responsible for all activity under your account and for each of your Users’ compliance with these Terms. Keep credentials, API keys and access tokens confidential and tell us promptly at info@testperfectlimited.co.uk if you suspect unauthorised access.
  • Organisation administrators can add, remove and change the roles of Users, view usage and billing, and export or delete organisation data. We will treat instructions from an administrator as instructions from you.

4. Plans, trials, fees and payment

Free plan and trials

The Free plan and any trial (for example, a 14-day trial with Pro-level access) are provided at no charge and with reduced allowances. When a trial ends, your account reverts to the Free plan unless you subscribe to a paid Plan. We may limit, change or withdraw free and trial allowances at any time, and may close Free accounts that have been inactive for 12 months after giving notice to the account email.

Paid Plans

  • Fees are shown on the pricing page or in your Order Form, are exclusive of VAT and other applicable taxes, and are payable in the currency displayed at checkout.
  • Subscriptions are billed in advance (monthly or annually, as selected) and renew automatically at the end of each billing period at the then-current price for your Plan until cancelled.
  • Payments are processed by Stripe. By subscribing you authorise us and Stripe to charge your chosen payment method for all fees, including renewals and overages. We do not store full card details.
  • Seat and usage upgrades take effect immediately and are charged pro rata. Downgrades and cancellations take effect at the end of the current billing period; no partial-period refunds are given.
  • If a payment fails we will notify you and retry. If it remains unpaid for 14 days we may downgrade the account to the Free plan or suspend access until the balance is settled.

AI usage allowances and overages

Each Plan includes a monthly allowance of AI usage (measured in tokens or requests, as shown in your Account page). Usage beyond the allowance is either blocked or billed as an overage at the per-unit rate displayed on the pricing page at the time of use, depending on your Plan and settings. Overages are charged to your payment method at the end of the billing period or when they reach a threshold we set. Allowances reset each billing period and unused allowance does not roll over. Where you connect your own AI provider keys, usage under those keys is billed directly by that provider and does not count against your allowance.

Price changes

We may change fees or allowances by giving at least 30 days’ notice by email or in-app. Changes apply from your next renewal after the notice period. If you do not accept a change you may cancel before it takes effect.

Refunds

Except where required by law or expressly stated in an Order Form, fees are non-refundable. If we materially fail to provide the Service and cannot fix the problem within 30 days of your written notice, you may terminate and receive a pro-rata refund of prepaid fees for the remaining period.

5. Acceptable use

You and your Users must not, and must not allow anyone else to:

  • run tests against Target Systems you are not authorised to test. You confirm that you own, or have explicit permission from the owner of, every Target System that tests executed through the Service connect to, and that such testing complies with all applicable law and third-party terms;
  • use the Service to attack, overload, probe or gain unauthorised access to any system, or to send spam or malicious content;
  • upload or generate content that is unlawful, infringing, defamatory, or that contains malware or real production personal data beyond what is necessary for testing;
  • reverse engineer, decompile, scrape or copy the Service, its models, prompts or generated recommendations, or use them to build a competing product;
  • circumvent or interfere with quotas, rate limits, seat limits, security controls or billing;
  • share a single login between multiple people, resell or sublicense access, or use the Service on behalf of a third party without our written consent;
  • use AI Features to generate content that violates the usage policies of the underlying model provider, or attempt to extract their models or system prompts.

We may investigate suspected breaches and may remove content, throttle usage or suspend accounts where reasonably necessary to protect the Service, other customers or third parties. We will tell you where we can lawfully do so.

6. Customer Data

  • You own your Customer Data. You grant us a non-exclusive, worldwide licence to host, process, transmit, display and back up Customer Data solely to provide, secure and improve the Service and as otherwise instructed by you.
  • We do not use your Customer Data, prompts or Output to train third-party AI models, and we contractually require our AI sub-processors not to do so.
  • You are responsible for the accuracy and legality of Customer Data and for having all rights and consents needed to give us the licence above, including for any personal data it contains.
  • Deleted organisations, projects and test cases are held in Archive for 3 months, during which an administrator can restore them; after that they are permanently removed from live systems. Backups are purged on a rolling basis within a further 30 days.
  • You can export test cases, folders and reports at any time from the Service. After termination we keep Customer Data available for export for 30 days and then delete it, except where we must retain it by law.
  • Integration credentials you provide (AI provider keys, Jira tokens, Azure DevOps PATs, Slack and Git credentials) are encrypted before storage and used only to perform the actions you configure. You may revoke them at any time and you remain responsible for their scope and rotation.

7. AI Features and Output

  • AI Features are provided using third-party model providers (currently OpenAI, Anthropic and Google) acting as our sub-processors. Inputs you send to AI Features are transmitted to the selected provider to generate Output.
  • Output may be inaccurate, incomplete or unsuitable. Generated test cases, scripts, code, defect analyses and recommendations are drafts. You must review and validate Output before relying on it, executing it, or committing it to a codebase.
  • As between you and us, and to the extent permitted by law and the relevant provider’s terms, you own the Output generated from your inputs. Because models can produce similar output for similar inputs, we do not guarantee that Output is unique or that it does not resemble output provided to others.
  • We may change, add or remove models and providers, and may route requests between providers to maintain service quality, without notice.

8. Test execution and self-hosted agents

  • The Service can execute test code (including Playwright scripts, API tests and generated code) either on our infrastructure or on agents you install on your own machines or CI systems (“Self-hosted Agents”).
  • Tests executed on our infrastructure run in isolated environments with resource and time limits that we may adjust. You must not use these environments for anything other than testing your Target Systems.
  • Self-hosted Agents run under your control on your infrastructure. You are responsible for securing that infrastructure, for the network access you grant the agent, and for artefacts (screenshots, logs, videos) the agent stores locally. We licence the agent software to you for use solely with the Service.
  • Test execution may create, modify or delete data in Target Systems and may generate load. You are responsible for pointing tests at appropriate environments and for any effect on your Target Systems.

9. Third-party services and integrations

The Service integrates with third-party products such as Jira, Azure DevOps, GitHub, Slack, Google Workspace and Microsoft Entra ID, and depends on providers such as Stripe and our hosting and AI sub-processors. Your use of those products is governed by their own terms, and we are not responsible for their availability, changes to their APIs, or how they handle your data. We may suspend an integration if the third party requires us to or if it poses a security risk.

10. Our intellectual property

The Service, including its software, models, prompts, workflows, industry-standard libraries, designs, documentation, and the TestPerfect name and logo, is owned by Test Perfect Limited and its licensors and is protected by copyright, trade mark and other intellectual property laws. Except for the limited right to use the Service in accordance with these Terms, no rights are granted to you. All rights not expressly granted are reserved.

If you send us feedback, suggestions or feature requests, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or obligation to you.

11. Confidentiality

Each party will keep the other’s confidential information (including Customer Data, non-public product information, pricing and security materials) confidential, use it only to perform under these Terms, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, already known to the recipient, independently developed, or required to be disclosed by law (with notice to the other party where lawful). These obligations survive for 5 years after termination, and indefinitely for trade secrets and personal data.

12. Data protection and security

  • Where we process personal data on your behalf we do so as your processor under the UK GDPR, EU GDPR and other applicable data protection law, in accordance with our Privacy Policy and our Data Processing Agreement, which is available on request and forms part of these Terms.
  • Our current sub-processors, hosting regions and security controls are described on the Security & Trust page. We will give reasonable notice of new sub-processors.
  • We maintain administrative, technical and organisational measures designed to protect Customer Data, including encryption in transit and encryption of stored credentials. No system is perfectly secure and you are responsible for configuring roles, single sign-on, integration scopes and test data appropriately for your risk profile.
  • We will notify you without undue delay after becoming aware of a personal data breach affecting your Customer Data.

13. Availability, support and changes to the Service

  • We aim to keep the Service available at all times but do not guarantee uninterrupted access. Planned maintenance will be announced in advance where practical. Service level commitments and support response targets are available only under an Enterprise agreement.
  • Support is provided via the in-app support centre and email. Response times depend on your Plan.
  • We continuously develop the Service and may add, modify or remove features. Features labelled beta, preview, experimental or similar are provided as-is, may be withdrawn at any time and may be subject to additional terms.
  • We may discontinue the Service or a material feature by giving at least 90 days’ notice, in which case we will refund any prepaid fees for the period after discontinuation.

14. Warranties and disclaimers

We warrant that we will provide the Service with reasonable skill and care and substantially in accordance with its documentation. Your sole remedy for breach of this warranty is for us to use reasonable efforts to correct the non-conformity or, failing that, the refund described in section 4.

Except as expressly set out in these Terms, the Service, AI Features, Output and any test results are provided “as is” and we disclaim all other warranties, conditions and terms, whether express or implied, including fitness for a particular purpose, merchantability, non-infringement and any warranty that the Service will detect every defect, that Output will be correct, or that tests will run without error. Nothing in the Service is a substitute for your own quality assurance judgement.

15. Limitation of liability

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be limited by law.

Subject to that, neither party is liable for any indirect, consequential or special loss, loss of profit, revenue, business, goodwill or anticipated savings, or loss or corruption of data (except our obligation to restore data from our most recent backup), however arising.

Subject to the above, each party’s total aggregate liability arising out of or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees paid or payable by you to us in the 12 months preceding the event giving rise to the claim, and (b) £100. For Free and trial accounts our total liability is limited to £100.

16. Your indemnity

You will defend, indemnify and hold harmless Test Perfect Limited, its officers, employees and contractors against any claims, losses, damages and costs (including reasonable legal fees) arising from (a) Customer Data, (b) tests you run against Target Systems, (c) your Users’ use of the Service, or (d) your breach of section 5 (Acceptable use) or applicable law. We will notify you promptly of any such claim and give you control of the defence, provided you do not settle in a way that admits fault on our behalf without our consent.

17. Term, suspension and termination

  • These Terms apply from the moment you create an account and continue until terminated by either party.
  • You may cancel a paid subscription at any time from your Account page; access continues until the end of the paid period. You may delete your organisation or account at any time, which terminates these Terms for that account.
  • We may suspend or terminate your access immediately if you materially breach these Terms (including non-payment or a breach of section 5), if required by law, or if your use presents a security or legal risk to us or others. Where reasonable, we will give notice and an opportunity to cure first.
  • Either party may terminate for convenience on 30 days’ written notice; prepaid fees are not refunded unless we are the terminating party.
  • On termination your right to use the Service ends, you must uninstall Self-hosted Agents and the VS Code extension, and Customer Data will be handled as described in section 6. Sections 6, 10, 11, 14, 15, 16, 19 and 20 survive termination.

18. Changes to these Terms

We may update these Terms from time to time. For material changes we will give at least 30 days’ notice by email to the account owner or by a prominent notice in the Service. Continued use of the Service after the effective date of the change constitutes acceptance. If you do not agree, you may terminate before the change takes effect and we will refund any prepaid fees for the remaining period. The current version is always available at this page.

19. Governing law and disputes

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that we may seek injunctive relief to protect our intellectual property or confidential information in any court of competent jurisdiction. Before starting formal proceedings, the parties will attempt in good faith to resolve any dispute through senior-level discussion for at least 30 days.

If you are a consumer (not acting in the course of business) in a jurisdiction that grants you mandatory protections, nothing in these Terms affects those rights.

20. General

  • Entire agreement. These Terms, together with the documents they incorporate, are the entire agreement between the parties on their subject matter and replace all prior discussions.
  • Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, with notice to you.
  • Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of third-party providers, other than payment obligations.
  • Notices. We will send notices to your account email. You may send notices to us at info@testperfectlimited.co.uk or to our registered office address.
  • Severability and waiver. If any provision is unenforceable it will be modified to the minimum extent necessary, and the rest remains in force. A failure to enforce a provision is not a waiver.
  • Publicity. We may identify you as a customer by name and logo in customer lists unless you opt out by emailing us.
  • Export and sanctions. You must not use the Service in breach of UK, EU or US export control or sanctions law.
  • No third-party rights. No one other than the parties has any right to enforce these Terms.
